Read this section carefully. It affects your legal rights, including the right to a jury trial and the right to participate in a class action. You may opt out within 30 days as described in Section 20.5.
20.1 Agreement to Arbitrate. You and Venture: Orange County agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Site, or any communications between us — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will take place in Orange County, California, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
20.2 Class Action Waiver. You and we each waive any right to assert claims as a representative or member of a class or to consolidate claims with claims of any other person. The arbitrator may not consolidate claims of multiple persons or preside over any form of representative or class proceeding. If this Class Action Waiver is found unenforceable as to a particular claim, that claim must proceed in court rather than in arbitration; the remaining claims will continue in arbitration.
20.3 Exceptions. (a) Either party may bring an individual action in small claims court for claims within that court's jurisdiction. (b) Either party may seek injunctive or equitable relief in court for intellectual property infringement or unauthorized access to the Site. (c) Nothing in this Section 20 limits the right of either party to seek public injunctive relief in court where California law makes that right non-waivable, consistent with the California Supreme Court's decision in McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017). (d) This Section 20 does not require waiver of any non-waivable statutory right under California or federal law.
20.4 Arbitration Costs. Venture: Orange County will pay all arbitration filing, administrative, and arbitrator fees that exceed what you would have paid to file the same claim in California state court, unless the arbitrator determines that the claim was frivolous or brought for an improper purpose. Each party otherwise bears its own attorneys' fees and costs unless the arbitrator awards fees as authorized by applicable law.
20.5 Right to Reject. You may reject this Arbitration Agreement by sending an email to privacy@ventureoc.com within 30 days of first accepting these Terms. The email must include your name, the email or phone number you used on the form, the date you accepted, and a clear statement that you reject the Arbitration Agreement. Certified mail is not required. Rejection will not affect the rest of these Terms.
20.6 Severability and Survival. If any portion of this Section 20 is found invalid or unenforceable, the remainder of Section 20 will remain in effect. This Section 20 survives termination of these Terms.
20.7 Federal Arbitration Act. This Arbitration Agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§1 et seq.
